Before proceeding you must agree to the licence terms for software purchased from Motion Ltd.
License Agreement
By purchasing and/or installing any of Motion Limited software or
products, or using our software or products in any way, you, the Licensee, agree
to be bound by the conditions and terms of the Motion License Agreement.
If you, the Licensee, do not agree to all the conditions and terms of the
Motion License Agreement, do not purchase Motion Limited's software or products.
If you, the Licensee, have purchased a Motion Limited software or products
and do not agree to all the terms and conditions of the Motion
Licence Agreement, the Licensee, must destroy all copies of the product
(including concomitant documentation and support files) immediately.
1. GRANT
Motion Limited grants you, the Licensee, a non-exclusive license to use Motion
Limited's software or products or documentation you have purchased within
the following guidelines:
A. No part of Motion Limited's software or products or documentation may be
reproduced or transmitted in any form or by any means including but not limited
to: electronic, mechanical, or otherwise, without prior written permission of
Motion Limited. You are granted the right to install the software or products
on your server for the use it was designed for. You may not upload the software
or products or documentation you have purchased in any form that makes the actual
product or products downloadable or readable to the world.
B. SPECIFIC LICENSE GRANTS:
a. Single Site License grants the Licensee, the right to install and use one
copy of purchased Motion Limited's software or products or documentation for
the purpose they were designed on a single domain for which you have been
contracted to develop or own. You may not publicly resell Motion Limited's
software or products or documentation.
b. You may not use this product in a way that may be deemed unlawful by the
government under which your usage of the Motion Limited's software or products
or documentation falls.
c. You may not resell any part or all of Motion Limited's software or products or
documentation under a different name.
d. You agree to keep in confidence and protect the Software from unauthorized
copying or use.
e. You may not remove the copyright notices embedded in the software.
2. TITLE
Title, all ownership and intellectual property rights in and to Motion Limited
software or products or documentation shall remain to Motion Limited. Motion
Limited, products and documentation is protected by the international
copyright treaties.
3. LIMITED WARRANTY
Motion Limited warrants Motion Limited's software or products or documentation
for a period of thirty days from the day of purchase that if used as instructed,
Motion Limited software and products will substantially attain functionality it
was designed to produce. Motion Limited does not warrant that Motion Limited's
software or products will be error-free or secure or that use of Motion Limited's
software or products will not be interrupted.
4. PURCHASER REMEDIES
Motion Limited's liability for any breach of the warranty above shall be at Motion
Limited's discretion to:
1) Advise you, the Licensee, how to substantially attain the functionality
Motion Limited's software and products were designed to achieve.
2) To install Motion Limited's software or products you, the Licensee, have
purchased for you, the Licensee, at a reasonable rate.
3) To refund the fee you, the Licensee, paid for Motion Limited's software or products
if principals of Motion Limited deem your claim valid. Because Motion Limited's
software or products is essentially Intellectual Property, Motion Limited is not
bound to refund any fees to any Licensee.
5. Motion Limited disclaims all other warranties.
6. All Motion Limited's software and documentation is provided under license and may
only be used within the framework of the License granted.
7. LIMITS OF LIABILITY
UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY, TORT, CONTRACT, OR OTHERWISE, SHALL
MOTION LIMITED BE LIABLE TO YOU, THE LICENSEE, OR ANY OTHER PERSON FOR ANY INDIRECT,
SPECIAL, PUNITIVE, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY CHARACTER INCLUDING,
WITHOUT LIMITATION, DAMAGES FOR LOSS OF GOODWILL, WORK STOPPAGE, COMPUTER FAILURE OR
MALFUNCTION, OR ANY AND ALL OTHER COMMERCIAL DAMAGES OR LOSSES.
8. TERMINATION OF AGREEMENT
A. This agreement is terminated immediately if you, the Licensee, fail to comply
with it in any way. Motion Limited has the right to take any action it deems
necessary to protect property it or any of its agents hold title to.
9. This agreement is governed by the international copyright laws and treaties.
10. We reserve the right to decline any sale we deem not in the best interest
of Motion Limited and/or its agents.
Due to the large number of recent frauds we review all orders manually and the purchased software will be sent to you via e-mail once your order is confirmed to be genuine. The software will be sent to the e-mail address specified when making the purchase.
